1. Acceptance of Terms
By creating an account on NubiBooks or using any of our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.
These Terms apply to all users of NubiBooks, including business owners, managers, employees, and any other individuals who access the platform under a business account.
2. Definitions
- "Platform" means the NubiBooks web application accessible at nubibooks.com and any associated mobile applications.
- "Services" means all features provided by NubiBooks including invoicing, receipts, accounting, inventory management, expense tracking, and payment processing.
- "User" means any individual who registers for or accesses the Platform.
- "Business Account" means the account created by a business owner that may include multiple staff users.
- "NubiPay" means the embedded payment gateway and virtual account service provided within NubiBooks.
- "Content" means all data, text, files, and information you submit to the Platform.
3. Description of Services
NubiBooks provides cloud-based business management software designed for Nigerian small and medium-sized enterprises (SMEs). Our services include:
- Invoice creation, management, and delivery
- Receipt generation and tracking
- Expense recording and categorisation
- Inventory and product management
- Customer and supplier relationship management
- VAT and tax compliance reporting
- Virtual account creation and payment collection via NubiPay
- AI-assisted financial recording and insights
- Multi-branch and multi-user business management
We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice.
4. Account Registration & Security
4.1 Registration
To use NubiBooks, you must register with accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@nubibooks.com if you suspect any unauthorised access to your account.
4.3 Staff Users
When you invite staff members to your Business Account, you are responsible for their use of the Platform. Each staff member is bound by these Terms upon accepting their invitation.
4.4 Age Requirement
You must be at least 18 years old and legally authorised to operate a business in Nigeria to create a Business Account.
5. Subscription Plans & Billing
5.1 Plans
NubiBooks offers several subscription tiers including Starter, Growth, and Pro plans. Features and usage limits vary by plan. Details are available on our pricing page.
5.2 Billing
Subscription fees are billed in Nigerian Naira (NGN) on a monthly or annual basis as selected at signup. All fees are non-refundable except where required by applicable law.
5.3 Upgrades & Downgrades
You may upgrade your plan at any time. Downgrades take effect at the end of your current billing cycle. Usage that exceeds your plan limits may result in service restrictions.
5.4 Top-ups
Certain features such as additional invoice credits may be purchased as one-time top-ups. Top-up credits are valid for the current billing month only and do not roll over.
5.5 Failed Payments
If a payment fails, we will notify you and your account may be restricted until payment is resolved. We are not liable for any losses arising from service restrictions due to failed payments.
6. Payment Processing (NubiPay)
6.1 Virtual Accounts
NubiPay provides virtual bank accounts powered by United Bank for Africa (UBA). These accounts are used to collect payments from your customers. NubiBooks acts as a technology intermediary and is not a licensed financial institution.
6.2 Settlements
Funds collected via NubiPay virtual accounts are settled to your registered settlement account. Settlement timelines are subject to the policies of our banking partners.
6.3 Prohibited Transactions
You may not use NubiPay for transactions that are illegal under Nigerian law, including but not limited to money laundering, fraud, or the sale of prohibited goods and services.
6.4 Transaction Fees
Transaction fees may apply to payments processed through NubiPay. Current fee schedules are available in your account settings. Fees are subject to change with 30 days notice.
6.5 Disputes
Payment disputes should be raised within 30 days of the transaction. NubiBooks will investigate in good faith but the final decision on bank-level disputes rests with our banking partners.
7. Data Ownership & Privacy
7.1 Your Data
You retain full ownership of all business data you enter into NubiBooks, including customer information, invoices, products, and financial records. We do not claim ownership of your Content.
7.2 Data Use
We use your data solely to provide and improve our services. We do not sell your data to third parties. Anonymised and aggregated data may be used for product analytics.
7.3 Data Security
We implement industry-standard security measures including encryption in transit and at rest. However, no system is completely secure and we cannot guarantee absolute security.
7.4 Data Retention
Upon account termination, your data will be retained for 90 days during which you may request an export. After 90 days, data may be permanently deleted.
7.5 NDPR Compliance
We process personal data in accordance with the Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act 2023.
8. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of Nigerian law
- Attempt to gain unauthorised access to any part of the Platform or its infrastructure
- Upload malicious code, viruses, or any software intended to damage our systems
- Reverse engineer, decompile, or attempt to extract the source code of the Platform
- Use automated tools to scrape, crawl, or extract data from the Platform without written consent
- Impersonate another person or business entity
- Use the Platform to send unsolicited communications (spam)
- Resell or sublicense access to the Platform without our written consent
Violation of these rules may result in immediate account suspension or termination.
9. Intellectual Property
The NubiBooks Platform, including its design, code, branding, and content created by us, is the exclusive intellectual property of NubiBooks Technology Limited and is protected under Nigerian and international copyright law.
You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your business purposes in accordance with these Terms. This licence does not include any right to reproduce, distribute, or create derivative works from our Platform.
10. Limitation of Liability
To the maximum extent permitted by applicable law, NubiBooks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption.
Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to NubiBooks in the three (3) months preceding the claim.
We are not liable for losses arising from: third-party payment provider failures, force majeure events, your failure to maintain account security, or actions of your staff members.
11. Termination
11.1 By You
You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided.
11.2 By Us
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We will provide notice where reasonably possible.
11.3 Effect of Termination
Upon termination, your access to the Platform will cease. You may request a data export within 90 days of termination. After this period, your data may be permanently deleted.
12. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
We encourage resolving disputes amicably. Before initiating legal proceedings, you agree to contact us at legal@nubibooks.com and allow 30 days for resolution.
